Warber subscription terms.

These terms govern subscriptions for the hosted Warber workspace service between Warber.io, Gratemawei 3, 9041EJ Berltsum ("Warber", "we", "us") and the person or organisation that creates or administers a paid workspace ("Customer", "you").
Agreement and authority
You accept these terms when you submit the signup form and start a subscription. If you act for an organisation, you confirm that you can bind it. The signup confirmation, these terms, the Privacy Notice, and any agreed data-processing terms form the agreement. Mandatory rights under applicable law continue to apply.
Service and accounts
Warber provides a multi-tenant hosted workspace for projects, tasks, documents, chats, planning, users and related collaboration data. The Customer appoints workspace administrators, controls membership and roles, and is responsible for activity performed through its accounts.
You must provide accurate account and billing information, keep credentials confidential, use available security controls, and notify Warber promptly about suspected unauthorized access. Accounts are personal and may not be shared. Warber may reject or suspend credentials, sessions or requests that threaten service security or tenant isolation.
Subscription, price and tax
The subscription renews monthly at EUR 9.00 excluding applicable tax per licensed seat. Stripe calculates tax from the billing profile and shows the final net amount, tax and total before payment. Stripe-finalized invoices and credit notes are the legal billing documents.
The Customer authorizes Stripe to charge the selected payment method for the initial term and each monthly renewal until cancellation. Warber does not store full card credentials. The Customer must keep its billing profile, tax information and payment method accurate.
Seat changes
A seat increase is quoted pro rata through the current period end. The higher entitlement becomes available only after Stripe confirms the related invoice as paid and the active subscription contains the new quantity. A failed, incomplete or expired payment leaves the previous entitlement unchanged.
A seat reduction takes effect at the next renewal without an interim credit. The administrator must select which members will be deactivated when the lower limit takes effect. Warber protects the current and last active administrator and blocks invitations that would exceed the scheduled limit.
Failed payment
Stripe controls payment retries. A failed payment can place a workspace in past_due; an unpaid subscription can quarantine the workspace and block normal access. Access is restored only after Stripe confirms a paid invoice and an active subscription. Warber does not create a local paid state merely because a browser returned from Stripe.
Customer data and permissions
The Customer and its users retain their rights in workspace content. The Customer grants Warber the limited permission needed to host, transmit, back up, restore and otherwise process that content solely to provide, secure and support the service and meet legal obligations.
The Customer is responsible for having a lawful basis to upload and process personal data, for giving required notices to its users, and for responding to requests concerning workspace content. Where the Customer is controller and Warber is processor, applicable data-processing terms govern that processing.
Customer-managed SMTP and S3
A workspace administrator may connect customer-selected SMTP and private S3-compatible services. File bytes are uploaded directly to the configured customer storage; Warber stores authorization and attachment metadata. Customer-owned S3 objects are not copied into Warber tenant backups and are not deleted or restored by Warber. The Customer is responsible for its provider contract, credentials, availability, retention, backups and lawful use.
Warber backups
Warber creates app-consistent backups of provisioned tenant databases, including workspace records and attachment metadata. The operational target is one verified backup every 24 hours, with at least 28 full days of backup retention and recurring restore validation. Backups reduce recovery risk but do not replace Customer responsibility for customer-owned storage or independent exports required by its own continuity policy.
Acceptable use
You may not use Warber to violate law or third-party rights, distribute malware, send unsolicited communications, probe or bypass security, access another tenant, overload the service, resell access without written agreement, or upload content you are not permitted to process. Warber may take proportionate action, including restricting the relevant account or workspace, to stop abuse, protect others or comply with law.
Intellectual property
Warber and its licensors retain all rights in the service, software, branding and documentation. Except for the right to use the subscribed service during the agreement, no intellectual-property rights transfer to the Customer. Feedback may be used to improve Warber without disclosing confidential Customer information.
Availability, maintenance and support
Warber uses reasonable professional care to operate and secure the service. Maintenance, provider incidents, internet failures and emergency security work can temporarily affect availability. Unless a separate written service-level agreement applies, Warber does not promise uninterrupted or error-free operation.

Cancellation
A workspace administrator may cancel from the workspace billing page. Cancellation stops renewal at the end of the current paid period; access and the current seat entitlement continue until that date unless the workspace is separately restricted for security, abuse, withdrawal or non-payment. A scheduled downgrade is reconciled through the same subscription schedule.
Fourteen-day contractual withdrawal
Warber gives every new Customer a contractual right to withdraw within fourteen days after the subscription is activated. The public withdrawal function sends a short-lived confirmation link to the billing contact. Confirmation immediately stops future collection and blocks workspace access. Eligible paid amounts are refunded through Stripe and finalized invoices receive Stripe credit notes. Refund processing failure does not reactivate the workspace.
Suspension and end of service
Warber may restrict or end access for material breach, unlawful use, security risk, prolonged non-payment or a legal requirement. Where reasonably possible, Warber will give notice and an opportunity to remedy. A quarantined workspace becomes eligible for controlled destruction after 90 days. Statutory accounting records and isolated backups may remain for their applicable retention periods.
Confidentiality and security
Each party will protect the other party's non-public information with reasonable care and use it only for the agreement. This does not cover information that is public without breach, independently developed, lawfully received from another source, or required to be disclosed by law. Warber's security measures support the service but do not remove the Customer's responsibility for its users, devices and connected providers.
Warranty and liability
Warber is responsible for loss directly caused by an attributable failure to perform the agreement. To the extent permitted by law, neither party is liable for indirect or consequential loss, lost profit, lost revenue or loss caused by the other party's systems, users or providers. Warber's aggregate liability in a contract year is limited to the subscription fees paid by the Customer in the twelve months before the event giving rise to the claim.
These limits do not apply to liability that cannot lawfully be limited, including liability arising from intent or deliberate recklessness by Warber's management. Nothing in these terms removes mandatory consumer remedies.
Force majeure
A party is not liable for delay caused by circumstances beyond its reasonable control while it takes reasonable steps to limit the effect. Payment obligations already due are not excused.
Changes, transfer and severability
Warber may update these terms for service, security, legal or operational changes. Material adverse changes will be announced before they take effect where required. Continuing a subscription after the effective date constitutes acceptance only to the extent permitted by law; otherwise the Customer may cancel before renewal.
The Customer may not transfer the agreement without Warber's written consent. Warber may transfer it as part of a business reorganisation or transfer of the service, provided Customer rights are not materially reduced. If a provision is unenforceable, the remaining provisions continue to apply.
Law and disputes
Dutch law applies. Disputes are submitted to the court that has jurisdiction under applicable law. Consumers retain any mandatory protection and forum rights of their country of residence.
